Terms & Condition

Last updated: 25 September 2026

These Terms & Conditions (“Terms”) govern the use of services provided by RY Code (“we,” “us,” “our,” “the Company”), currently operated by Yashod Mendis and Ravishka Amashan as a partnership, trading as RY Code, with invoicing issued under the name Yashod Mendis pending formal business registration. By engaging our services, requesting a quotation, signing a proposal, or making a payment, you (“Client,” “you”) agree to these Terms.

1. Who We Are

RY Code is a web design & development, e-commerce, hosting & maintenance, and point-of-sale (POS) solutions provider, offering: – Custom website design & development (WordPress, React, Node.js) – E-commerce store development and integrations – Web hosting, domain, and ongoing maintenance services – POS system setup, customization, and support

All invoices, contracts, and payment receipts are currently issued under the individual name Yashod Mendis, who accepts legal and financial responsibility for services delivered under the RY Code brand until the brand is formally registered as a business entity.

2. Definitions

  • “Services” – any design, development, hosting, maintenance, or POS work agreed in a quotation, proposal, or invoice.
  • “Deliverables” – the website, software, design files, or systems produced for the Client.
  • “Content” – text, images, logos, product data, and other materials supplied by the Client.
  • “Project Agreement” – the quotation, proposal, email confirmation, or contract that sets out scope, price, and timeline for a specific engagement.

3. Quotations, Proposals & Scope

  • Quotations are valid for a stated period (e.g., 30 days) unless otherwise noted.
  • Final scope is defined in the Project Agreement. Any work outside that scope is treated as a change request (see Section 7) and may incur additional charges.
  • Prices may be quoted in LKR or USD; the currency and exchange basis (if relevant) will be stated in the quotation.

4. Client Responsibilities

The Client agrees to: – Provide content, branding assets, product data, and login credentials needed to complete the project in a timely manner. – Review and approve deliverables (designs, staging sites, test transactions) within agreed timeframes. – Ensure any third-party accounts they provide access to (hosting, domain registrar, payment gateway, social media) are lawfully owned/controlled by the Client. – Obtain rights/licenses for any content they supply (images, logos, trademarks, copy).

Delays caused by the Client in providing content or approvals may extend the project timeline accordingly and are not considered a breach by RY Code.

5. Payment Terms

  • A non-refundable deposit of 40% of the project value is required before work begins, with the balance due on milestones or on completion, as set out in the Project Agreement. During promotional/discounted pricing periods, the deposit may be up to 60%, since a larger upfront payment is needed to cover third-party costs (templates, domain, hosting) at lower overall project prices.
  • Hosting, maintenance, and POS support fees are billed on a recurring basis (monthly/annually) and are due in advance.
  • Invoices are issued under the name Yashod Mendis on behalf of RY Code. Payment should be made using the bank details / payment method stated on the invoice.
  • Late payments may result in suspension of services, work, or website/hosting access until settled. A late fee of 2% per month applies to invoices unpaid 14 days after the due date.
  • Prices are quoted in LKR by default. USD payment (including via PayPal) can be arranged on request.
  • All fees are exclusive of applicable taxes unless stated otherwise.

6. Intellectual Property & Ownership

  • Upon full and final payment, ownership of the custom deliverables (design files, custom code written for the Client) transfers to the Client, excluding any third-party or pre-existing assets described below.
  • RY Code retains ownership of any pre-existing frameworks, internal tools, code libraries, and proprietary systems used to build the Deliverables, and grants the Client a non-exclusive license to use them as part of the Deliverables.
  • Third-party themes, plugins, stock images, fonts, and software remain subject to their own license terms; the Client is responsible for renewing any paid licenses after handover.
  • RY Code reserves the right to display completed projects in its portfolio, website, and marketing materials unless the Client requests confidentiality in writing.

7. Revisions & Change Requests

  • Each project includes 2 rounds of revisions, meaning 2 rounds of feedback and changes the Client can request before final approval of the Deliverables (e.g., design or content adjustments during development). This does not cover post-launch fixes, which are handled under warranty/support terms.
  • Requests beyond the agreed scope or the 2 included revision rounds, or changes requested after a stage has been approved, will be quoted separately and may affect the delivery timeline.

8. Project Timeline & Delays

  • Timelines are estimates based on timely Client feedback and content delivery. RY Code is not liable for delays caused by the Client, third-party services (hosting providers, payment gateways, app stores), or events outside its reasonable control (see Section 14, Force Majeure).

9. Hosting & Maintenance Services

  • Hosting and maintenance plans are subject to the specific terms, uptime expectations, and inclusions described in the relevant plan/agreement.
  • RY Code will make reasonable efforts to maintain service availability but does not guarantee uninterrupted uptime, as this may depend on third-party infrastructure providers.
  • Regular backups are recommended and, where included in a plan, will be performed as described in that plan; RY Code is not liable for data loss arising from Client-side actions, third-party plugin conflicts, or failure to maintain an active hosting/maintenance subscription.
  • Non-renewal of hosting/maintenance fees may result in suspension of the website/store 7 days after the due date, and removal from active servers if payment remains outstanding thereafter.

10. E-Commerce Services

  • RY Code builds and configures e-commerce stores but does not act as the merchant of record; all sales, product listings, pricing, taxes, refunds, and compliance with consumer protection and tax laws are the Client’s responsibility.
  • Payment gateway integration is subject to the terms and approval process of the relevant payment provider; RY Code is not responsible for gateway account approval, transaction fees, or fund settlement.

11. POS System Terms

  • POS software/hardware provided or configured by RY Code is subject to the specific product/hardware manufacturer’s warranty where hardware is sourced from a third party.
  • The Client is responsible for the accuracy of product, pricing, and inventory data entered into the POS system, and for compliance with applicable tax and invoicing regulations (e.g., VAT/receipt requirements) in their jurisdiction.
  • Support and bug-fix coverage for POS software is limited to the scope defined in the relevant support agreement.

12. Warranties & Disclaimers

  • RY Code will perform services with reasonable skill and care.
  • We do not guarantee specific business outcomes such as sales volume, search engine rankings, traffic, or conversion rates, as these depend on factors outside our control.
  • Deliverables are provided “as is” after handover except for any explicitly agreed post-launch support/warranty period for bug fixes.

13. Limitation of Liability

To the maximum extent permitted by law, RY Code’s total liability for any claim arising from the services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. RY Code is not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity.

14. Force Majeure

RY Code is not liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, power/internet outages, government action, or third-party service failures.

15. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, except where disclosure is required by law.

16. Cancellation & Termination

  • Either party may terminate an ongoing project with 14 days’ written notice, unless otherwise specified in the Project Agreement.
  • Deposits and payments for work already completed are non-refundable.
  • RY Code may suspend or terminate services for non-payment or breach of these Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes will first be addressed through good-faith negotiation, and if unresolved, may be referred to mediation or the competent courts of Sri Lanka.

18. Changes to These Terms

RY Code may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
